Please read these Terms of Service carefully before using StartFormly. These terms constitute a legally binding agreement between you and StartFormly Inc. regarding your use of our website and services.
1. Acceptance of Terms
By accessing or using StartFormly's website and services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our services.
These Terms apply to all users, including visitors, customers, and business account holders.
2. Description of Services
StartFormly provides the following services:
- US Business Formation: LLC and Corporation filing assistance in all 50 US states
- Registered Agent Services: receiving legal and government documents on your behalf
- EIN Obtainment: Federal Tax ID number application assistance
- AI Bookkeeping: automated transaction categorization and financial reporting
- Tax Preparation: CPA-assisted business and personal tax filing
- Compliance Monitoring: deadline tracking and reminder notifications

3. Account Registration
To use our services, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your account information as needed
- Keep your password secure and confidential
- Notify us immediately of any unauthorized use of your account
- Be responsible for all activity under your account
You must be at least 18 years old to create an account.
4. Payment and Billing
Subscription Plans: Monthly subscription fees are billed in advance on a recurring basis. Your subscription will automatically renew unless cancelled before the next billing date.
Formation Services: One-time government filing fees are charged at the time of service. Government fees vary by state and are separate from StartFormly service fees.
Payment Processing: All payments are processed securely by Stripe. By providing payment information, you authorize us to charge the applicable fees.
Price Changes: We reserve the right to change our pricing with 30 days notice. Continued use of the service after a price change constitutes acceptance of the new price.
5. Refund Policy
Subscription Services: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial months of service.
Formation Services: Once a business formation filing has been submitted to the state government, no refunds are available. Government fees are non-refundable.
Exceptions: Refunds may be issued at our sole discretion in cases of duplicate charges, billing errors, or service failures directly attributable to StartFormly.

6. Cancellation
You may cancel your account at any time by contacting us at [email protected] or through your account dashboard. Upon cancellation:
- Your subscription will not renew
- You retain access to the service until the end of the current billing period
- Your data will be retained for 90 days and then deleted, subject to legal retention requirements
- Formation documents and tax records may be retained as required by law
7. User Responsibilities
You are responsible for:
- Providing accurate and truthful information for all filings and applications
- Ensuring timely responses to government notices forwarded by StartFormly
- Maintaining records and fulfilling ongoing compliance obligations
- Not using our services for any unlawful purpose
StartFormly is not liable for penalties, fines, or government actions resulting from inaccurate information provided by the user.
8. Disclaimers
Services are provided "as is" without warranties of any kind. StartFormly does not warrant that:
- Services will be uninterrupted or error-free
- Government processing times will meet any particular deadline
- AI-generated financial categorizations will be 100% accurate
StartFormly is not a law firm and does not provide legal, accounting, or tax advice. CPA services are provided by licensed third-party professionals. You should verify important financial and legal matters with qualified professionals.
9. Limitation of Liability
To the maximum extent permitted by law, StartFormly's total liability for any claims arising from these Terms or your use of our services shall not exceed the greater of: (a) the amount you paid to StartFormly in the 12 months prior to the claim, or (b) $100.
In no event shall StartFormly be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
10. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in a court of competent jurisdiction.
11. Changes to Terms
We may update these Terms of Service from time to time. We will notify you of material changes by email or by posting a notice on our website at least 14 days before the changes take effect. Continued use of our services after the effective date constitutes acceptance of the updated Terms.
